Election of Vice-Chair - ACTION If the term of appointment of the member elected Chair expires before the year is out and that member does not either seek reappointment or the Board does not grant such reappointment, the Vice-Chair will serve as Chair until the following January, as established by Section 2, Article II of the CAC By-Laws. Due to the resignation of Chair Jul Lynn Parsons, Vice-Chair Peter Tannen will serve as Chair. An election is required to select the Vice-Chair by a majority of the appointed CAC members. Any CAC member is eligible for either the Vice Chair position. The elected Vice Chair immediately serve at the current meeting and the remaining 2010 meetings. 5. Community Advisory Committee for the San Francisco Transportation Plan - INFORMATION This item was continued from the September 1 special Citizens Advisory Committee (CAC) due to a lack of quorum. The Authority is now initiating the San Francisco Transportation Plan (SFTP) and wishes to convene a Community Advisory Committee (SFTP CAC) to advise staff on the plan's development. The purpose of the SFTP CAC will be to provide input on each step of the planning process, to liaise with their communities and strengthen the plan's public involvement activities overall. The SFTP CAC will advise on all aspects of the update process, including the formulation and evaluation of alternatives, selection of a preferred alternative, development of an implementation strategy (including an investment and policy component) and strategies for effective outreach. The SFTP update process will last approximately 18-24 months. We anticipate that the SFTP CAC will meet quarterly, or 6-8 times during the course of the project. The SFTP CAC will consist of approximately 18 members. Of these, up to three will be from the Authority's CAC, four will be identified through a citywide application process and the rest will be invited to serve by the Executive Director of the Authority. There also will be a Technical Advisory Committee for the SFTP, consisting of staff representatives from relevant local and regional agencies. The SFTP CAC is part of a comprehensive outreach strategy for the SFTP. It will not replace the Authority's CAC, which will be briefed on the SFTP on a regular basis and will be asked to act on key deliverables including approval of the final plan. We are seeking three volunteers from the CAC to serve on the SFTP CAC. This is an information item.

Citizens Advisory Committee Appointments - INFORMATION The Plans and Programs Committee will consider recommending appointment of two members to the Citizens Advisory Committee (CAC) at its October 19 meeting. These vacancies resulted from the resignation of Jul Lynn Parsons and term expiration of Fran Martin. Neither staff nor CAC members make recommendations regarding CAC appointments. Negotiate Contract Terms and Conditions - INFORMATION* attachment 01 attachment 02 This item was presented directly at the September 21 meetings of the Finance Committee and Plans and Programs Committee at the request of the Authority Chair. Both committees recommended approval of the staff recommendation and forwarded the item to the Authority Board for consideration at its September 28 meeting. While the initiative to conduct a management performance audit of the Municipal Transportation Agency (MTA) originated at the Board of Supervisors, the rationale for a Prop K appropriation is that the Authority devotes a significant portion of Prop K allocations to capital projects to be delivered by the MTA, and any improvements to the efficiency of the project delivery process would result in benefit to the Prop K program that should easily outweigh the investment in the audit. On June 15, the Budget and Legislative Analyst's Office presented a proposed scope of work for Phase II of its Limited Scope Performance Audit of the MTA to the Plans and Programs Committee for approval. The Committee continued the item and requested that the scope be enhanced to include additional components, such as the examination of the larger policy issues that drove the MTA's capital program and details on project delays and cost increases. After consulting with the Board of Supervisors, on July 30, 2010, the Authority issued a Request for Proposals (RFP) for audit services in a contract amount not to exceed $70,000 and received one responsive bid. Competition was deemed inadequate due to an insufficient response of only one bid. In addition, the preliminary scope of work requires a larger budget than anticipated as a result of the Committee's request for an enhanced scope. Hence, on August 19, 2010, the Authority, in consultation with the Board of Supervisors, canceled and re-issued the RFP for audit services in a contract amount not exceed $200,000, subsequently receiving three responsive bids. This is an information item. 8. Positions on State Legislation - INFORMATION* attachment The Authority approves a set of legislative principles to guide transportation policy advocacy in the sessions of the Federal and State Legislature. With the assistance of the Authority's legislative advocate in Sacramento, staff has reviewed pending legislation for the current Legislative Session and analyzed it for consistency with the Authority's adopted legislative principles and for impacts on transportation funding and program implementation in San Francisco. This is an information item. 9. Adopt a Motion of Support for the Award of a Three-Year Consultant Contract, with Two Additional One-Year Extension Options, to Smith, Watts and Company LLC, in an Amount Not to Exceed $135,000, for State Legislative and Advocacy Services, and Authorization for the Executive Director to Negotiate Contract Terms and Conditions - ACTION* attachment On August 26, 2010, the Authority issued a request for proposals (RFP 10/11-04) for a three-year state legislative and advocacy services contract, with two additional one-year extension options. One firm submitted a bid, which included both a technical and cost component, by the proposal deadline of September 15, 2010. The selection panel comprised of representatives from the Authority. Based on the competitive process defined in the evaluation criteria of the RFP document, the selection panel recommended the first-ranked firm of Smith, Watts and Company LLC to be awarded the state legislative and advocacy services contract. We are seeking a motion of support for the award of a three-year consultant contract, with two additional one-year extension options, to Smith, Watts and Company LLC, in an amount not to exceed $135,000, for state legislative and advocacy services, and authorization for the Executive Director to negotiate contract terms and conditions. End of Consent Calendar 6:30 Policy & Programming 10. Adopt a Motion of Support for the Allocation of $508,000 in Prop K Funds, with Conditions, to the Municipal Transportation Agency (MTA) for Traffic Calming - Planning, Evaluation and Outreach and $214,000 in Prop K Funds, with Conditions, to the MTA for Planning and Design of New Pedestrian Signals, Subject to the Attached Fiscal Year Cash Flow Distribution Schedules, and Amendment of the Traffic Calming 5-Year Prioritization Program - ACTION* attachment The Municipal Transportation Agency (MTA) has requested allocation of a total of $722,000 in Prop K funds for the following two projects: Traffic Calming - Planning, Evaluation, and Outreach ($508,000) and New Pedestrian Signals ($214,000). Both projects would be 100% Prop K funded. The requests are summarized in Attachments 1 and 2, followed by a summary of our staff recommendation in Attachment 3. The New Pedestrian Signals project includes planning and design of six new pedestrian countdown signals and four new accessible pedestrian signals. The allocation request form shows the pool of potential locations from which the MTA will prioritize the 10 locations to be designed. The MTA anticipates completing design by June 2012. the MTA's traffic calming request includes six projects: a large, local street area-wide plan (Visitacion Valley), 3 local street small area-wide plans (Clayton, Dewey and Jordan Park/Laurel Heights), evaluation of new traffic calming requests, and continued outreach for the MTA's traffic calming program. In both cases, the MTA's budgets estimate higher costs compared to similar prior Prop K requests. In the case of the New Pedestrian Signals project, the MTA primarily attributes this to the complexity of the remaining locations that lack existing pedestrian signals (e.g. the easier locations have already been done) and a conservative estimate of the number of curb ramps to be designed. With respect to the traffic calming project, the MTA has indicated that the costs now better reflect the actual cost of the work, and include senior staff and other expenses that were previously charged to agency overhead. We are seeking a motion of support for the allocation of $508,000 in Prop K funds, with conditions, to the MTA for Traffic Calming - Planning, Evaluation and Outreach and $214,000 in Prop K funds, with conditions, to the MTA for planning and design of New Pedestrian Signals, subject to the attached fiscal year cash flow distribution schedules, and amendment of the Traffic Calming 5-Year Prioritization Program. 6:50 Planning 11. Adopt a Motion of Support for the Award of a Consultant Contract to the Top-Ranked Firm as Scored by a Selection Panel, in an Amount Not to Exceed $990,000, for Planning, Urban Design, Conceptual Engineering, Outreach, and Environmental Analysis Services for the Better Market Street Planning and Environmental Studies - ACTION* attachment In July, the Authority allocated $790,000 in Prop K funds to support the Better Market Street (BMS) Planning and Environmental Studies, (Resolution 11-09). The study will include visioning for the corridor, from Steuart Street to Octavia Boulevard, assessment of existing conditions, creation of conceptual designs, technical analysis of those concepts, and initiation of the environmental review process. The Authority is leading procurement of consultant services for the project, on behalf of the interagency team conducting the study. Given the unique nature of the challenge and opportunity, the Authority utilized a two-stage process for the procurement of consultant services. On July 8, 2010, the Authority issued a Request for Qualifications (RFQ) for planning, urban design, conceptual engineering, outreach, and environmental analysis services for the study. The Authority held a pre-response conference on July 14, 2010. Proposals were submitted to the Authority by seven teams on July 30, 2010. A multi-agency technical panel reviewed each of the seven (7) proposals based on the evaluation criteria defined in the RFQ to determine which teams would be invited to submit full proposals in response to a Request for Proposals (RFP). On August 9, 2010 the Authority issued an RFP for the same services, and invited the top three (3) respondents to the RFQ to submit full proposals. Based on the technical proposals received and interviews scheduled to take place on September 27 and 28, a multi-agency review panel will make a recommendation for award of consultant contract to the first-ranked firm at the September 29 CAC meeting. Following CAC consideration of this recommendation, the Finance Committee and Authority Board will consider it for approval in October. This approval schedule will help us ensure that the study moves forward in a timely manner. We are seeking a motion of support for the award of a consultant contract to the first-ranked firm, in an amount not exceed $990,000 for Planning, Urban Design, Conceptual Engineering, Outreach, and Environmental Analysis Services for the Better Market Street Planning and Environmental Studies. 7:10 Finance 12. Adopt a Motion of Support to Execute the Option with VNO Patson Van Ness Holding LLC to Extend the Office Workspace Lease for an Additional Five Years, in a Total Amount not to Exceed the Fair Market Rental Value, and Authorize the Executive Director to Negotiate Terms and Conditions - ACTION* attachment In October 1993, the Authority relocated its offices from City Hall to the building located at 100 Van Ness Avenue in order to provide sufficient space for its activities as administrator of the Prop B half-cent sales tax for transportation, Congestion Management Agency, and county program manager for the Transportation Fund for Clean Air. The 26th floor lease term expires in August 2011 and includes an option to extend the lease at fair market rate. After surveying the leasing options available in the Civic Center, the Embarcadero, and South of Market (SoMa) districts, we initiated a bid process in March 18, 2010. Four buildings, shown in the attached Cost Summary Table, were requested to submit bids. We determined that remaining in the existing workspace as it is to be to the best advantage of the Authority with respect to financial impacts, meeting our space requirements, and location, particularly in accommodating frequent meetings with City staff and project sponsors in the Civic Center area and with the Authority Board members at City Hall, where Authority hearings are also regularly held several times a month. According to the existing lease, the annual base rent for the extended term shall be equal to the fair market rental value of the office space as of August 2011. We are seeking a motion of support for execution of the option with VNO Patson Van Ness Holding LLC to extend the office workspace lease, in a total amount not to exceed the fair market rental value, and authorization for the Executive Director to negotiate terms and conditions. 13. Adopt a Motion of Support for the Award of Three-Year Consultant Contracts, with Two Additional One-Year Extension Options, to Nixon Peabody LLP and Squire, Sanders and Dempsey LLP, in a Combined Total Amount Not to Exceed $400,000, for Bond Counsel and Disclosure Counsel Services in Connection with the Issuance, Sale, and Delivery of Bonds and/or Other Forms of Debt Financing and Authorization for the Executive Director to Negotiate Contract Terms and Conditions - ACTION* attachment On August 3, 2010, the Authority issued a Request for Proposals (RFP 10/11-02) for a three-year professional bond counsel and disclosure counsel services contract in connection with the issuance, sale, and delivery of bonds and/or other forms of debt financing, with two additional one-year extension options. It is the intent of the Authority to contract with one or more firms, with whom the Authority shall select on a Task Order basis. The establishment of contracts with one or more firms enables the Authority to enlist the services of a broad range of bond counsel specialists on an on-call, as-needed basis. Nine firms submitted responsive bids by the proposal deadline of September 2, 2010. On September 10, the Authority issued an invitation to interview four firms. Interviews were conducted on September 17 by a selection panel comprised of representatives from the Transportation Authority of Marin and the Authority. Based on the competitive process, the selection panel recommended the first- and second-ranked firms of Nixon Peabody LLP and Squire, Sanders and Dempsey LLP to be awarded the bond counsel services contract. We are seeking a motion of support for the award of three-year consultant contracts, with two additional one-year extension options, to Nixon Peabody LLP and Squire, Sanders and Dempsey LLP, in a combined total amount not to exceed $400,000, for bond counsel and disclosure counsel services in connection with the issuance, sale, and delivery of bonds and/or other forms of debt financing and authorization for the Executive Director to negotiate contract terms and conditions. 7:50 14.
